The five things, in order.

  1. 01

    Formation — one time, and we can tell you the number

    This is the one price we state plainly, because it's ours. A Wyoming LLC is all-in at one price, a Delaware C-Corp at another — both cover our fee plus the state's filing fee.

  2. 02

    Registered agent — annual

    Every company needs a registered agent for the life of the business. It's a yearly service, usually bundled with your first year's formation and renewed after.

  3. 03

    State annual report or franchise tax — annual

    Your state wants a filing and a fee every year. The name and amount vary by state — look it up rather than trusting a quote.

  4. 04

    Federal and state taxes — depends on profit and activity

    What you owe the IRS and the state depends on what your company earns and where it sells. This is the biggest, and least predictable, line.

  5. 05

    Form 5472 — if you're foreign-owned

    A US company with a foreign owner may need to file Form 5472, and missing it carries its own penalty. We don't file it; a tax professional does.
